1. Agreement to Terms
These Terms of Service govern your use of RollSheet ("the Service"), operated by RollSheet ("we", "us", or "our"), and any related services we provide.
By accessing the Service, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the Service.
We reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page and the "Last updated" date above. Any changes to these Terms of Service will take effect immediately from the date of publication.
2. Description of Service
RollSheet is a cloud-based management platform for tutoring and learning centers. The Service provides tools for student enrollment, check-in/check-out tracking, employee time management, scheduling, payroll reporting, and related administrative functions.
3. Accounts and Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep it up to date.
If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Subscription and Billing
The Service is offered on a subscription basis. By subscribing to a paid plan, you agree to pay the applicable fees. Subscriptions renew automatically unless canceled before the renewal date.
- Prices are subject to change with 30 days' notice.
- No refunds are provided for partial billing periods.
- We may suspend access if payment fails after reasonable attempts to collect.
- Free trial periods, if offered, convert to paid subscriptions unless canceled.
5. Limitations of Use
By using the Service, you warrant on behalf of yourself, your users, and other parties you represent that you will not:
- Modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained in the Service.
- Remove any copyright or other proprietary notations from any materials or software.
- Transfer the materials to another person or "mirror" the materials on any other server.
- Knowingly or negligently use the Service in a way that abuses or disrupts our networks or any other service we provide.
- Use the Service to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material.
- Use the Service in violation of any applicable laws or regulations.
- Use the Service in conjunction with sending unauthorized advertising or spam.
- Harvest, collect, or gather user data without the user's consent.
- Use the Service in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.
- Attempt to gain unauthorized access to any part of the Service.
- Upload malicious code or content.
- Resell or sublicense the Service without written authorization.
6. Intellectual Property
The intellectual property in the materials contained in the Service are owned by or licensed to RollSheet and are protected by applicable copyright and trademark law. We grant our users permission to use the Service for its intended purpose under these Terms.
This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by RollSheet at any time.
7. Data Ownership
You retain your intellectual property ownership rights over all data you input into the Service ("Your Data"). We will never claim ownership of Your Data, but we do require a license from you in order to use it.
When you use the Service to post, upload, share, or otherwise transmit content, you grant us a non-exclusive, royalty-free, worldwide license to use, store, process, and display Your Data solely for the purpose of providing the Service.
The license you grant us can be terminated at any time by deleting your content or account. Upon termination of your account, you may request an export of Your Data within 30 days. After that period, we may delete Your Data in accordance with our data retention policies.
8. Children's Data
The Service is designed for use by tutoring center administrators and staff, not by children directly. You are responsible for ensuring that any student data you enter into the Service is collected and shared in compliance with applicable laws, including the Children's Online Privacy Protection Act (COPPA) and any applicable state privacy laws. You represent that you have obtained any necessary parental consents before entering student data.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses arising from downtime.
10. Liability
Our Service and the materials within it are provided on an "as is" basis. To the extent permitted by law, RollSheet makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.
In no event shall RollSheet or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Service, even if RollSheet or an authorized representative has been notified, orally or in writing, of the possibility of such damage.
In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
11. Links
RollSheet has not reviewed all of the sites linked to its Service and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by RollSheet of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.
12. Termination
You may cancel your subscription at any time through your account settings. We may suspend or terminate your right to use the Service immediately upon written notice to you for any breach of these Terms of Service. Upon termination, your right to use the Service ceases immediately.
13. Severance
Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Harris County, Texas.
